Your privacy is valued at Clarasight PBC (Clarasight”, “we”, “our”, “us). We allow businesses to collect and analyze data about their corporate sustainability performance and to use that data to corporate sustainability initiatives. This Clarasight Privacy Policy (the Privacy Policy) describes the types of information that we may collect from you (“you,” “your” or user) or about you, when you use our website (“https://clarasight.com”) and services (collectively the “Service”), and how we use, disclose, and protected that information.

This Privacy Policy applies when Clarasight acts as a “data controller” and is generally responsible for and controls the processing of your personal information collected through your use of our Service.

When we collect data on behalf of our Customers, Clarasight is acting as a “data processor” and we contractually committed ourselves, including by signing data processing agreements, to only process such information on behalf and under the instruction of the respective customer who is the “data controller”. This Privacy Policy does not apply to instances where Clarasight is processing data as a data processor.

1. INFORMATION WE COLLECT

We collect information, including information that directly identifies you or that makes you identifiable (“personal information ” or “personal data”), in connection with your visits to and use of the Service. This collection includes information that you provide in connection with the Service, information from third parties, and information that is collected automatically such as through the use of cookies and other technologies.

1.1. Information you provide.

You are free to choose what personal information  you provide to us or whether you provide us with personal information at all. However, some information, such as your account information, name, email address, payment information, and information on your requested services may be necessary for the performance of our contractual obligations.

Registration information. We collect personal and/or business information that you provide when you register for an account to use our Service, including the Clarasight Platform. This information may include all account information such as your name, email, and password. We use this information to administer your account, provide you with the relevant services and information, communicate with you regarding your account, the Service, and for customer support purposes.

Service Inquiries. We may collect personal information  and/or business information that you provide when you inquire about our Service. This information may include your business information, including your first name, last name, email, phone number, company, company size, industry type, and any other information you provide, including your interests in relation to our Service or applicable business information. We use this information to communicate with you about your inquiry or interests and to provide you with information on our Service.

Payment Processing. We may collect personal information  to facilitate payment transactions and manage payment of our Service. Please note that we use third party payment processors to process payments made to us. As such, we do not retain any personally identifiable financial information such as credit card numbers, rather, all such information is provided directly by you to our third-party processor and is governed by their privacy policy.

Marketing Emails and Blog Subscription. If you sign up to receive marketing from us, we collect your email and applicable interests and communication preferences in order to send you regular updates to advertise and market our Service. We use this information to manage our communications with you and send you information about products and services we think may be of interest to you. To unsubscribe from promotional messages, please follow the instructions within our messages and review the Control Over Your Information section below. Note that you cannot unsubscribe from certain services-related or product email communications (e.g., account verification, confirmations of transactions, technical or legal notices).

Communications and Support. If you communicate with us through any paper or electronic form, we may collect your name, email address, mailing address, phone number, or any other personal information  you choose to provide to us. We use this information to respond to requests, investigate your inquiries, and to communicate with you, as well as to enhance the services we offer to our users and to manage and grow our organization.

Employment Applications and Inquiries. If you apply for employment, we collect your contact and demographic information, educational and work history, employment interests, information obtained during interviews and any other information you choose to provide. We use the information provided to evaluate your candidacy for employment, to communicate with you during the application process and to facilitate the onboarding process.

1.2. Automatic Data Collection.

We and our third-party providers and partners collect certain personal information  automatically when you visit or interact with our websites and other Service.

Cookies. Link to Cookie Policy. We use cookies to collect statistical information about the ways you use our Service including which pages you visit, which links you use, and how long you stay on each page. Clarasight may also use cookies to create a database of your previous choices and preferences, saving you time and effort. When you first access our Service, you will receive a message advising you that cookies are in use. The use of cookies by third parties is not covered by our privacy policy, as we do not have access to or control over their cookies.

Opt-Out. If you do not wish to receive cookies, you may set your browser to reject cookies or to alert you when a cookie is placed on your computer. If you limit or disable the use of cookies when you visit Clarasight, you may be unable to use the full functionality of our Service.

1.3. Information from Third Party Sources

We may receive personal information  about you from our customers, business partners and/or service providers and combine this information with other data we collect from you. The third parties may include website and service operators, payment processors, marketing partners, and shipping providers. The information may include contact information, demographic information, information about your communications and related activities, and/or information about your behavior. We may use this information to administer and facilitate our services, your subscriptions, and our marketing activities.

Social Media. When you interact with our Site through various social media, such as when you click on the social media icon on the Site, follow us on a social media site, or post a comment to one of our pages, we may receive information from the social network such as your profile information, profile picture, gender, username, user ID associated with your social media account, age range, language, country, and any other information you permit the social network to share with third parties. The data we receive complies with your privacy settings with the social media network. We use this information to operate, maintain, and provide to you the features and functionality of the Service, as well as to communicate directly with you, such as to send you email messages about products and services that may be of interest to you.

Information from Other Sources. We may obtain information from other sources, including through third-party information providers, customers, public sources, or through transactions such as mergers and acquisitions. We may combine this information with other information we collect from or about you. In these cases, our Privacy Policy governs the handling of the combined personal information . 2.1. Provide the Service.

We use the information we collect to provide the Service, such as providing you with the ability to access and use our Platform.  In providing you with the Service, we also use information we collect to communicate with you, maintain your account and provide you with support.

We use the information we collect to conduct surveys and research, develop new products and features, test those products and features in development, improve the effectiveness of our Services and marketing efforts, and conduct audits and troubleshooting activities. 3. HOW WE SHARE YOUR PERSONAL INFORMATION

3.1. Clarasight.

Clarasight will share your information with its employees, agents, and affiliates who are authorized by Clarasight to access it, and for the purpose of providing you with the Service or as required by law.

3.2. Customers.

We may share your information with your employers to help manage and further their climate strategies and in accordance with our contractual obligations to provide the Service. In such cases, we will only share your personal information with the employers that you have a preexisting relationship with.

3.3. Collaborating Organizations and Business Partners.

We may collaborate with other organizations to further our mission or partner with businesses who share the same values. In these cases,  We may disclose personal information  to our business partners for transactional and marketing purposes, including to promote their products or services. We may also share your personal information  with other third parties who may have products or services we think you may enjoy.

3.4. Service Providers.

We work with a wide range of third-party services providers who help provide and make the Service accessible. These include contractors, system integrators, auditors, and others. Clarasight and our service providers may share your information with each other and use it consistent with this Privacy Policy. We may share your personal information  with such service providers, so long as those parties agree to keep your personal information confidential.

3.5. Advertisers.

We may participate in behavioral-based advertising, which means that a third party may use technology, such as a cookie, to collect information about your use of our Service so that we can provide advertising about goods and services tailored to your interests. Some of these third-party providers may be able to collect personal information  that you share via our Service to send marketing messages directly to you. The personal information  collected by these third-party providers may include your device’s IP address, username, email addresses (where hashed or otherwise rendered pseudonymous) and other user and device-level pseudonymous information. 3.6. As Part of a Merger or Sale of Business.

We may disclose your information we collect in connection with a substantial corporate transaction, such as the sale of our business, a divestiture, merger, consolidation, or asset sale, or in the unlikely event of bankruptcy.

We may be required by law to disclose certain information we collect, including Personal information  when it is necessary to conform to legal requirements or comply with legal process. We may also use your Personal information  to protect our intellectual property and enforce our contractual obligations.

5. CLARASIGHT DOES NOT SELL PERSONAL INFORMATION

5.1. Policy.

We will not sell or share your personal information/ personal data to or with any third party for their use without your consent.

5.2. Aggregate Information.

Clarasight may aggregate and anonymize information you and others make available in connection with the Service and post it publicly or share it with third parties. Examples of the type of information we may aggregate include information about car emissions, food consumption and utility consumptions. Clarasight may use, sell, license, and share this aggregated information with third parties for research, business, or other purposes such as to help companies understand more about quotidian consumption.

6. HOW WE PROTECT THE INFORMATION

6.1. Security Measures.

We take reasonable technical and organizational measures to protect the confidentiality, security, and integrity of your personal information . Although we use security measures to help protect your information against loss, misuse, or unauthorized disclosure, we cannot guarantee the security of information transmitted to us over the Internet.  While we strive to use commercially acceptable means to protect your information, including aggregating and anonymizing information, there is no guarantee that information may not be accessed, disclosed, altered, or destroyed.

6.2. Storage and Retention.

The information we collect is stored on servers located in the United States. We will retain your personal information  for as long as needed to provide you with our Service, as contractually required or as necessary to comply with our legal obligations.

7. YOUR RIGHTS REGARDING YOUR PERSONAL INFORMATION

7.1. Right to Corrections.

We rely on you to update and correct the Personal information contained on your Account. However, if you are unable to do so, or you wish to have your personal information corrected, please follow the Contact Us method below.

7.2. Access to Your Personal Information.

You may request access to your personal information by contacting us as through the Contact Us method below. We will grant you reasonable access to the personal information that we have about you as required by law.

7.3. Right to Deletion.

You may request that we delete your personal information by contacting us through the Contact Us method below. We will grant a request to delete personal information as required by law, but you should note that in many situations we must keep certain personal information to comply with our legal obligations, resolve disputes, enforce our agreements, or for other required business or legal purposes. Except as provided above, we will delete, aggregate, or de-identify all your personal information upon request, within the timeframes required by law.

7.4. Opting Out of Behavioral-Based Advertising.

If you wish to limit third parties’ collection of information about your use of our Services, you can opt-out of such marketing through the Digital Advertising Alliance or Network Advertising Initiative. Please note that opting out of behavioral advertising does not mean that you will not receive advertisements while using our Services. It will, however, exclude you from interest-based advertising conducted through participating networks, as provided by their policies and choice mechanisms.

We may also utilize certain forms of display advertising and other advanced features through Google Analytics, such as Remarketing with Google Analytics, Google Display Network Impression Reporting, and Google Analytics Demographics and Interest Reporting. These features enable us to use first-party cookies (such as the Google Analytics cookie) and third-party cookies (such as the DoubleClick advertising cookie) or other third-party cookies together to inform, optimize, and display ads based on your past visits to our services. You may control your advertising preferences or opt-out of certain Google advertising products by visiting the Google Ads Preferences Manager, currently available here, or by visiting NAI’s online resources on their website.

7.5. Opting Out of Marketing.

You may opt-out of future marketing emails by following the unsubscribe instructions provided to you. Please note that if you have an Account, or if you opt-in to Service updates, we reserve the right to send you certain communications related to our Service, your Account or your use of the Service, and these transactional messages may be unaffected if you choose to opt-out of marketing communications.

7.6. Do-Not-Track.

Some web browsers and devices permit you to broadcast a preference that you not be "tracked" online. At this time, we do not modify your experience based upon whether such a signal is broadcast.

8. ADDITIONAL NOTICE TO CALIFORNIA RESIDENTS

8.1. Request of Information.

California's "Shine the Light" law (Civil Code Section ¬ß 1798.83) permits individuals with whom we have a business relationship who are California residents to request certain information regarding our disclosure of Personal information  to third parties for their direct marketing purposes. To make such a request, please email consumersupport@clarasight.com.

8.2. Right to be forgotten

The California Consumer Privacy Act of 2018 ("CCPA") as amended by the California Privacy Rights Act(“CPRA”), provides several rights to California residents with regards to the collection, disclosure, sale, and deletion of their Personal Data. If you have questions about exercising your CCPA rights, please email us at consumersupport@clarasight.com with your name, postal address, telephone number, and email address with "California Consumer Privacy Rights" in the subject line.

8.3. Do Not Sell My Personal Information.  

Under the CCPA, a business that sells California residents' personal information to others: 1) must give notice to California residents before selling their personal information to others; and 2) must provide the right to opt out of the sale of their personal information. Clarasight does not sell personal information, including personal information of anyone under 16 years old. Thus, these notification and opt-out requirements do not apply to Clarasight. 8.4. Erasure Law.

In accordance with California law, minors under the age of 18 residing in California may remove or request and obtain removal of content and information that they post on a website or other web-based apps. In order to remove or to request and obtain removal of such content and information, you may alert us at consumersupport@clarasight.com so that we may take appropriate action. You should be aware that removal of the content and information posted by a minor does not ensure complete or comprehensive removal of the content or information posted on our Services.

9. MINORS AND CHILDREN'S PRIVACY

Our Services are not directed to children under the age of 18; if you are not 18 years or older, do not use our Services. We do not knowingly collect personal information from children under the age of 18 unless a parent has consented to it. If we learn that personal information of persons less than 18 years-of-age has been collected through our Services, we will take the appropriate steps to delete that information. If you are a parent or guardian and discover that your child or a minor under the age of 18 has posted, submitted, or otherwise communicated personal information to our Services without your consent, then you may alert us at support@clarasight.com so that we may take appropriate action to remove the minor's personal information from our systems.

10. INTERNATIONAL USERS

If you are located in another jurisdiction, you should be aware that once your personal information is submitted through our Service, it will be transferred to our servers in the United States. By using our Service, or providing us with any personal information, you consent to the transfer, processing and storage of your personal information in the United States, a jurisdiction in which the privacy laws may not be as comprehensive as those in the country where you reside, and that the United States currently does not have uniform data protection laws in place.

Our Service may contain links to third party websites, applications and services not operated by Clarasight. These links are provided as an additional service to you and do not imply any endorsement by us of the activities or content of these sites, applications, or services nor any association with their operators. Clarasight is not responsible for the terms of use, privacy policies or practices of any third-party including websites or services directly linked to our Service. We encourage you to review the privacy policies of any third-party site that is linked to our Service.

12. CHANGES TO OUR PRIVACY POLICY

We reserve the right to update this Privacy Policy at any time, without prior notice to you, and any changes will become effective immediately upon posting. If we make material changes to this privacy policy, we will notify you by e-mail via the primary e-mail address specified in your account or through a notice on the website home page. You are responsible for ensuring we have an up-to-date, active, and deliverable e-mail address for you or if you do not have an Account, for periodically visiting our website and this privacy policy to check for any changes. Your continued use of our Service following posting of any Privacy Policy changes constitutes your acceptance of such changes. The effective date of this Privacy Policy, and the last revised date is identified at the bottom of the page.

13.1. Timing.

We try to respond to all legitimate requests within 30 days of your request. Occasionally it may take us longer and, in such cases, we will notify you of the delay, and may continue to update you regarding the progress of our response.

13.2. Legal Obligations.

You will not be subject to discrimination as a result of exercising your rights described in this Privacy Policy. In some cases, when you exercise one of your rights, we may be unable to comply with the request due to legal obligations or otherwise, or we may be unable to provide you with certain products or services. These responses are not discrimination and our reasons for declining your request or ceasing services will be provided at that time.
